Valley Free Radio Board of Directors Meeting

Tech Issues: there is no right channel sound emanating. May just be a connection problem. Continuing problems with automation downloading and file transfers.

Recorder purchase: we will research a recorder that uses records on thumb drives [USB port]. New computer: we will try using one of the old STL computers, instead of purchasing. Air filter: only works on high or off; we will try to fix to low setting only.

Scent free: reminder will go out on listserves.

Programmers should note: Shows should remember to end their shows early, whether or not followed by a live show.

Board Meeting Space: Katherine will check out Forbes Library, and Arjuna will check out the Unitarian Church for future board meetings. [MEF room may not be sufficient as to IAQ* for a long time, due to new carpeting]. Friends Meeting House space on Center Street, Northampton, problematic in that front door has to be locked down at all times.

Fundraising: Shawn stepping down as Fundraising Coordinator, but willing to continue on fundraising committee. We need to find a new coordinator. Underwriting proposal:

Shows will be able to fulfill their volunteer hours by finding and negotiating underwriting for their shows. [approved] A volunteer is needed and wanted for replacing Shawn as fundraising committee coordinator.

Promotion: the first meeting of the promotionn committee will be on the third Wednesday of January, MEF, 7:00 PM. We will attempt to have all subcommittees meeting in that space that night [either in different corners of the room, or at staggered times].

Show Reviews: few shows had fulfilled requirements, which include volunteer hours, payment of 2010 member fees, contact information, signup for announcement listserve, etc. We switched to discussing new show compliance: only one has paid member frees,

[Doodlebug Junction], none had performed work, including attending meetings. Before more drastic action, it is referred back to Programming Committee for action by liaisons. We discussed requiring Board approval for new shows to start, without decision. Again to be taken to Programming Committee first.

New Programmer Requirements

New reqs passed by the Board—4 hours per month labor, meeting hours count. New show programmers expected to be part of Work Sundays first Sunday of the month unless they’re doing 4 hours of already-approved work (meetings are considered approved work) Programmers need to be notified. They can talk to Bob Gardner for ideas for work.

Quarterly Compliance Check

Bob Gardner says there will be proposal at next Board meeting that new shows be allowed to start only 4 times per year, i.e. quarterly, to make the quarterly new show compliance check easier; Committee expressed concerns that this would unduly restrict new shows from starting

Liasons need to check on the programmers in their collective and make sure they understand what they need to do (report hours and pay dues), when they need to do it (before their next compliance check by the Board), and what the consequences are of not doing it—i.e., losing their show.

New Committee Chair

Keely is stepping down as chair for maternity leave, we need new chair/co-chair. No one volunteered. Will put on agenda of next Membership meeting, need new chair by January.

1] STL setup: has been up and running since yesterday. So far so good. VFR and the board formally thank Bob Gutowski for his donation of new equipment and his work on VFR’s behalf. This new STL is not a change that requires approval or licensing, as it is essentially the same as before [in the industry our connect is not a true STL, but a data link]. New automation computer with new software has also been brought online [yea Andy!]. Training of station managers in new setup will be necessary.

2] Tech team setup: new committee approved. Andy Sewell has agreed to be the tech team coordinator. Outreach to involve new members will happen. Tasks: checkups, documentation, looking at cooling of studios.

3] Meeting Space: the MEF space has become inaccessible due to a new carpet, which is “outgasing” We will be meeting in alternative spaces for the interim. The next meeting is at Friends Meeting House on Center Street in Northampton. [January 2010 meeting]

4] Underwriting Expansion: meeting during Work Sunday December 6^th at 2:00 PM at station to formulate the procedures, prices structure, programmer role. Andy will send out materials to board and interested parties.

5] Admin Duties: we will pursue underwriting for experienced trade help. Problem is that a small number of people doing such a large workload, and the potential for burnout. Tasks being done by our overworked volunteers:

Bookkeeping, tracking pledges, filings with IRS, State of Massachusetts, the license transfer,

One solutions is using underwriting to barter for services. We always need legal help….maybe we can find an attorney who would provide services in exchange for underwriting. This will be pursued by Underwriting Committee.

6] Station Manager goal: we discussed what our pool of resources would be in order to launch into part-time paid staff. People were comfortable with $25,000- 30,000 in the bank.

7] Quarterly compliance checkup [all shows]: first review period—Oct thru Dec, Shows will be reviewed at January meeting.

8] New Show Approvals: the shows begun this quarter will be considered next meeting.

Known shows up for review: Earlobe Heist, Popular Influence, Think Metal, Channeling the Muse, and Vital Health.

9] Visiting other LPFMs: there was broad interest in visiting a few other Low Power FM station. Mentioned were the Bellows Falls, VT station (WOOL), and the Greenfield, MA station .

General Membership Meeting Minutes 11-18-09

STL Crash: problem outlined. Bob Gutowski will be researching a “real” STL.

Ed will talk to Dave Russell about coming in to access the STL computers on both

ends. Whoever works on the computer needs to pickup computer from Bob Gutowski.

Need to find someone who has passwords, or can access otherwise.

Part-Time Station Manager Proposal: postponed till future time.

Underwriting Expansion: approved as written. Please contact the board if interested in working on this. Further details will need to be worked out by board. Possibility of

a paid sales person raised. The first Sunday in February will be a underwriting “Work Sunday” –brainstorming and maybe calling potential stores/businesses. The Board will flesh out details of program by that time.

Language:

All shows are eligible for underwriting;
Businesses, as well as cooperative and non-profit entities, are eligible to underwrite shows, provided that: they are not large corporations, and/or state, regional or national chains;
Small businesses may also be excluded for: poor labor, environmental or discriminatory practices, as determined by the Board of Directors in executive session.

Trial Period for New Show: approved. Liasons are asked to notify the Board of each show’s first day on air, and the programming committee is asked to make recommendations for the three month review.

Language:

All new show approvals are provisional;
Each new show will need approval by Board of Directors for continuation past three months.
The Board shall evaluate new shows for volunteer work compliance, meeting attendance, dues payment, programming rules and procedures;
All new shows are by default referred to Work Sunday [first Sunday of every month, except for holiday weekends] as a beginning place for work;
The programming committee shall notify the board of provisional approval of new shows, including start date, and shall notify the board of any programming issues that arise during the trial period;

New Member Definition: initially presented; to be debated and voted on next general meeting. Arjuna offered a suggestion that members who do not come to meetings still stay attuned by reading and participating in listerserve, and other modes of engagement.

Language:

A member of Valley Free Radio shall perform four hours of documented work per month and shall have paid all required member dues, as approved annually. Work shall include meeting attendance. Voting rights will accrue to a member in the next following month of work performed and reported, and dues paid. There shall be no separate requirements for volunteer members or programmer members.

Notes: currently there are three programmer- member requirements—a volunteer work requirement, a meeting requirement, and a dues requirement. This proposal merges the first two. Currently a volunteer member only need attend one meeting/month and pay dues to vote.

Quarterly General Membership Meeting: idea presented; to be fully debated and voted on next month. Language:

In order to encourage meaningful participation, General Membership meeting shall be held quarterly. A significant part of each gathering should be food, refreshment, entertainment or other cultural activities. Also, major proposal will be discussed.

2009-10 Annual Member Dues: $25/year approved for 2010. Members should make payment by December 31st. Scholarships available.

The new programmer policy is posted up in the station, in every mail box in the station, on the announcements emails. Should have been emailed to each programmer as well by liaisons/programming.

Agenda Item 3 -Work day Sunday July 19th

Tony mentioned that there didn’t seem to be much chatter about this item. A webpage on the VFR website was made. http://www.valleyfreeradio.org/work-sunday/ It contains information about this day and the other work days which will happen every month at the same time as VFR Training. WorkDay is an excellent opportunity to get some mandatory off-air volunteer hours for programmers.

Tony Shannon reported that there are 9 responses for the Meeting(s) Attened Form, 10 responses for the Contact Info UPDATE Form, 15 responses for the Programmers Off-Air Volunteer Hours Reporting Form and 7 responses for the Valley Free Radio Re-Application Proposal Form. *see also Agenda Item 6* for more info.

Agenda Item 5 -Fund raising

It was mentioned that there should be alot of it.

The hopes are that it will contain important information that will be helpful to programmers both new and seasoned. Programmer forms that coincide with the new programmer policy are available 24/7 A contact form is available so that vfr members can update their contact information. *VFR Contact Information UPDATE Form* Primarily the 2 forms: *VFR Meetings Attended Form*, *Programmers Off-Air Volunteer Hours Reporting Form* , will play a role in the re-application process. Noted here: *Valley Free Radio Re-Application Proposal Form* Tony noted he noticed the online schedule was not visible. This will be looked into on Sunday along with the Office Computer problem.

Announcements: Andy announced that the moderated Northampton mayoral debate hosted by VFR is moving forward, with Dave Pakman to moderate, and possible venues being Forbes Library or Northampton High School. We will need to obtain $1 million insurance policy on event [to cost us $100.00]; will be carried live by Community Access TV and run on delay on VFR.

Charles M announced an upcoming fundraiser at the Elevens on Aug. 8^th; we will be charging $5.00 at door; Charles will write a proposal to board.

Tech Committee: Andy – we now have a server sled installed, which, when fully operational, will record the stream in one hour segments. Some discussion of replacing Marrantz, but payment for this will fall to programmers, if they want to raise the money.

The Website is now transferred, and Tony and Andy are currently operating.

Fundraising: Tony Udell raised the option of doing another on-air pledge drive. Maybe in September?

Re-application proposal: the new and revised proposal is read and discussed. After a spirited discussion, the proposal passes as written. Some discussion of uses of transition week to the new schedule. [perhaps this could be a pledge drive week?] Full text of approved policy:

Here at VFR we have been searching for a way to make our organization healthier, and to ensure that the responsibilities of running an all-volunteer station are equitably shared by all of us, the volunteers. There have been many attempts over the years to combat two of our most serious challenges: lack of commitment, follow-through, and communication from some on one end of the spectrum, and burn-out from the most involved members on the other. To address these challenges in a fresh way, encouraging both collective and individual accountability, it is now proposed:

1] The reporting of hours worked should be the responsibility of each programmer. An online fill-in sheet will be added to vfr website where each programmer can report hours worked monthly.

2] Annually each programmer will be responsible for filling out a form, available online and at the station, detailing their personal fulfillment of the station’s membership requirements, including volunteer hours, meeting attendance, membership fees, and the provisos of programming. For the vast majority of us, this will be an opportunity to share what we have been doing for the station and how our shows fit in with the mission of VFR. It will be an exercise in community-building, as we learn more about the exciting, varied, worthwhile, and unique programs that are available on our station, and about our neighbors who present them. We can inspire and be inspired by the hard work and innovative ideas of our peers. For some, it will be an occasion to reflect on whether or not they are truly honoring their commitment to VFR, and a chance to step up and become a fully participating member in time for the review. A few will realize, on their own or with feedback from the committees, that they have not been complying with requirements, and they will need to relinquish their programming privileges.

3] Each programmer will solicit support and feedback from their collective prior to submission of a reapplication to the programming committee as a whole. Once obtaining approval at the programming committee level, the process will continue on to the Board of Directors, which will further explore the situation and make final decision on how to proceed. Each group will discuss different aspects of our adherence to policy and mission, and will have the discretionary power to waive some requirements due to dire circumstances.

4] There shall be a week break in programming between scheduling blocks. During this time, automation, syndication and other pre-recorded material will play on air. This will allow the programming committee to reconfigure and place both new shows and established shows in a revised schedule format.

5] The first annual scheduling period shall begin four months from passage of this proposal. During this four month period, programmers will need to fill out and submit their forms, and participate in the reevaluation process before moving forward into the next block. Out of respect for the time of our fellow workers, forms should be submitted two months in advance of the break. All of us lead busy lives with many obligations, but two months should be enough to write up a self-evaluation and summary of one’s show, as well as catch up on any volunteer hours or membership dues which may be lacking.

6] In order to facilitate ongoing volunteer work, the Board and other members will begin staffing the station one weekend day per month. Tasks will include: cleaning, filing, repair and maintenance, training, and assorted administrative tasks. All members are encouraged to suggest and take the lead on various volunteer activities.

7] Notwithstanding the requirements above, ALL shows are expected to fully participate in on-air pledge drives and other major fund-raising efforts of the station.

8] It is the conclusion of the general membership that following through with this system of self- and group evaluation will result in a happier, more functional organization. Addressing issues of participation and commitment will naturally lead to improvement in other challenging areas, such as finances, promotions, and staying true to our mission and vision.

*VFR Music Charts*

The list has artist/songs that are pretty recently released. Rikk Desgres

explained that more or less this would help in promoting the station and in

getting new music to the station. Rikk Desgres is responsible for posting

these. Information should be sent to him for posting.

Since Tony Shannon was the only new music programmer present, there really

was no introduction needed since he is already known to the other 4 who were

present :)

Rikk Desgres mentioned a dump button for the studio.

Everyone liked the idea. A cheap one is about a month and a half of expenses

for VFR.

Idea was shot down by the Treasurer once he heard the price.

Perhaps one day [?]

Meeting was called to order at 7:30 pm at the Somatics Institute.

Agenda Items

1. Acceptance of Board Resignations.

We accepted the following resignations: Strong Oak, Linda and Eddy Kennedy.

The Board had a preliminary discussion about board nominations so as to fill three slots. We talked about the importance of going beyond who is already at the table.

For the Board and for Programming: Who are communities/individuals from those communities who are not represented at VFR? (immigrants, involvement with local schools, homeless populations and their advocates, etc.). More people of color. Board will continue this discussion at next Board meeting and put this in writing for the GM.

Decided that we should not have couples on the Board.

2. Appointment of Clerk

Diana Coryat is appointed.

3. Appointment of Co-Chair

Katherine was appointed to be a Co-Chair, together with Fidel.

4. Call for Programming Committee Co-Chair elections at next General Membership Meeting

The Board will reminded the Prog Comm that, in accordance with the Bylaws, they need to elect co-chairs, and each collecitve needs to elect 2 liasons from their collective before the next programming meeting on May 14^th.

We decided that no member of the Board should also be a Liaison so as to cut down on a few people wearing many hats, and then burning out.

Also, liasons need to communicate with the Board regarding any changes to their collective. Suggestion was made that we put in the programmers contract that they need to communicate directly with their liason if they will be terminating their show.

5. Volunteer coordinator- volunteer hours and membership fee status of VFR

1. Board Nominations Committee

Steve Cuttings and Ed Russell have agreed to be part of the Board nominations committee. We still need one more person.

We talked about the importance of the Board and the General Membership to reach out into communities that are not currently at the table at VFR (ie. more people of color, immigrants). Lets reach outside of known circles. Everyone can help with this. Bios need to go to the nomination committee.

Timeline: Nomination bios to next GM on May 13. Bio needs to be posted 5 days before GM.

Saturday, April 25^th is upon us. There is a planning meeting this Sunday at 2pm at Yellow Sofa. Planning meeting. He will post it to discussion list. Still need raffle premiums. Will be posting tasks/jobs that need to be done on the website. Contact Rikk@valleyfreeradio if you can come or help out in any way.

Cut-off date for on-line raffles is 48 hours before the event. Will have a list of raffle prizes at the show.

We talked about having another fundraiser in the summer because so many bands have volunteered to play for us.

Need ideas for fundraisers. Ideas generated: Host a record sale. Rikk has offered to help digitize CDs.

3. Programming Committee.

Keely is the only liason right now. Last meeting had no members of the Programming Committee, though other folks were there. She reviewed all proposals. Keeley nominates Leela and she is interested. She has brought in four new programmers, including 3 people of color. Majority voted her in.

There are 2 new liasons for News and Politics: Tony Udell and Joel Saxe;

Charles is the new music liason;

Arts and Culture couldn’t meet in person but had an email vote but not yet sure of outcome. Strong Oak is also interested in being part of the programming committee.

Education and Social Issues: Derrick Goodwin and Don Persons.

There is still a 6-8 pm hole on Saturday night.

The Youth Commission’s current members will be phasing out, and Keely will reach out to the Mayor’s Office to see about new people.

We have 3 new programs on the air. Tony Shannon’s, Brian Haas, and Jeff Steiner.

Bush I talked about bringing the interest that many health practitioners have in becoming part of programming.

News and Politics collective is reviving the Community Radio hour. 6-7pm on Sundays. Email Tony Udell and Joel Saxe if you have ideas.

4. Tech and Web Committee

Andy: The automation machine is about to die. We can buy an upgrade for about $240 which would alleviate some of its problems. Programming committee needs to think about what should be in there.

5. Other items and discussions.

Need a profanity button but they are very expensive.

There is a volunteer coordinator opening. It was suggested that we wait until new liasons are working. This position might not be necessary if liasons communicate.

We need to post jobs on the list serve, so that people will know what needs to be done. We should also ask people to take on

Bill [Childs] wants to phase out moderating the listserv. Need a person to do it. Mo is interested in doing it. Perhaps it isn’t even needed? Bill Weye also wants to let go of his duties. Andy proposes that these duties are incorporated into the Tech and Web Committee. We might need to go outside our community and bring in folks that can do this.

We need to readdress syndicated shows. There are several shows that aren’t getting aired because of the shuffling around – (issue for Programming Committee).

Poverty Is Not a Crime group wants to work with us. (Bush I)

We need to do more outreach, in general, for VFR.

Andy wants someone to take over Promotions Committee – he is ready to step down.

$358 came in from the appeal letter. (great!)
